Apply for Dormant Company Status
Overview: A dormant company is a Dutch Company/Legal Entity that has stopped trading and has no other income. The word “Dormant” refers to inactive or inoperative.
Main specifications:
- trading includes buying, selling, renting property, advertising, employing someone, or getting interest
- a dormant company/legal entity is exempt from filing the Tax Return
- a dormant company/legal entity is not exempt from filing the Annual Financial Report
Purpose: Apply for Dormant Company Status
Registering authority: Dutch Trade Register
Term of registration: 2-3 working weeks
Personal presence: Not required
Conditions for registration:
- Company/legal entity has stopped trading and has no other income
- General meeting of the owners (e.g. shareholders, members) on declaring the Dormant status of the company/legal entity
Required documents:
- Passport or European ID card (for all associated persons)
- Proof of residential address not older than 3 months (for all associated natural persons)
- Extract from the Trade Register not older than 3 months (for all associated legal persons)
- Signed Special Resolution on declaring the Dormant status of the company/legal entity
